Beisatz: Gemäß § 49 Abs 2 GmbHG hat eine Änderung des Gesellschaftsvertrages keine rechtliche Wirkung, bevor sie in das Firmenbuch eingetragen ist. Der Eintragung kommt daher konstitutive Wirkung zu. Einer rückwirkenden Eintragung im Firmenbuch steht diese Bestimmung entgegen....
